Position Summary

The Senior Legal Counsel, Corporate & Commercial architects and executes the legal infrastructure that enables Empower’s hyper-growth while protecting contractual economics and enterprise value. This role owns high-stakes commercial agreements, corporate transactions, and capital readiness in a nationally visible environment. Success is measured by reduced contract cycle time, quantified risk mitigation, inspection-ready discipline, and scalable legal systems that accelerate revenue without compromising compliance. The position leverages AI-enabled contract management platforms, and structured workflows to increase execution speed, improve decision quality, and automate low-leverage work. Operating with extreme ownership and minimal oversight, this individual contributor translates complex commercial realities into disciplined frameworks that protect licensure, margin, and long-term strategic flexibility while supporting Empower’s billion-dollar growth trajectory. Reporting to the Associate General Counsel of Corporate & Legal Operations, the Senior Legal Counsel, Corporate & Commercial, partners with business leaders across the organization to draft, review, and negotiate contracts that mitigate risk, foster trusted relationships, and create scalable frameworks that support Empower’s transformational growth.

Duties and Responsibilities

Enterprise Commercial Infrastructure

  • Lead structuring, drafting, and negotiation of complex vendor, customer, licensing, real estate, and strategic partnership agreements supporting regulated compounding operations.
  • Engineer scalable contract templates, fallback matrices, clause libraries, and approval workflows that reduce deviation rates and compress cycle times.
  • Quantify contractual financial exposure and deliver clear, defensible recommendations aligned to margin and compliance.
  • Leads and supervises Contract Counsel on the contracts team, providing mentorship, guidance, and oversight.

Corporate Governance & Transactions

  • Support mergers, acquisitions, capital projects, and strategic investments through disciplined diligence and risk analysis.
  • Maintain entity management, board approvals, and governance records with zero tolerance for inaccuracy.
  • Structure strategic alliances with clear allocation of risk, audit rights, indemnities, and economic protections.

AI-Enabled Legal Transformation

  • Deploy secure AI tools to automate drafting, redline comparison, and obligation extraction.
  • Analyze historical contract and inspection data to identify patterns, optimize negotiation strategies, and reduce risk.
  • Design repeatable AI workflows with validation controls, confidentiality safeguards, and measurable efficiency gains.

Individual Ownership & Execution Discipline

  • Operate with full ownership of defined legal domains, delivering measurable outcomes without direct oversight.
  • Install personal operating systems for intake, prioritization, tracking, and performance measurement.
  • Build scalable legal assets including playbooks, decision trees, and templates that reduce friction and increase clarity.
  • Serves as subject matter expert for merger and acquisition transactions, corporate governance matters, and capital projects.

Knowledge and Skills

  • Advanced expertise in commercial contracting, corporate governance, and transaction support within complex, high-growth environments.
  • Strong knowledge of contract law, corporate governance, and applicable regulatory frameworks.
  • Proven experience leveraging AI-enabled contract lifecycle management and workflow automation tools.
  • Exceptional analytical judgment, executive-level communication, and ability to translate legal risk into business impact.
  • Ability to collaborate with cross-functional stakeholders across multiple departments to deliver proactive legal support.
  • Hands-on experience leading contract lifecycle management processes and driving process improvements.

Experience and Qualifications

  • Minimum of 7 years of experience practicing law, with a focus on contract drafting, negotiation, and management, ideally within the pharmaceutical, healthcare, or life sciences industries.
    • 3-5 years of in-house experience at another company.
    • 4-6 years of experience at a law firm with a focus on corporate transactions, contracts, or commercial matters.
  • Demonstrated success negotiating complex agreements with vendors, customers, and strategic partners.
  • Experience implementing or leveraging AI-enabled legal tools, contract automation platforms, and modern customer-facing contract solutions.
  • Supervisory experience managing and mentoring junior Contract Counsel.
  • Experience with mergers and acquisitions, corporate governance, and real estate and facilities agreements.
