Position Summary

At Empower, the role of the Contract Manager is central to our commitment to excellence and integrity, ensuring that our operations adhere to the highest legal and regulatory standards. Our Contract Manager is instrumental in maintaining detailed records and managing a broad array of crucial documents, including active leases, contracts, and non-disclosure agreements (NDAs). This meticulous work not only supports our seamless operations but also reinforces our dedication to quality and service.

In this vital role, you will be responsible for updating and monitoring our extensive database of contracts with vendors, customers, and clinical partners. Your expertise will ensure that all contractual obligations are met and will aid in the strategic handling of amendments and terminations in response to evolving business needs. Additionally, you will collaborate closely with internal teams and legal counsel to develop, negotiate, and manage a variety of agreements, enhancing our innovative approach to pharmaceutical care.

By maintaining a well-organized library of standard contract templates, you will help safeguard our operations against legal risks. Duties and Responsibilities
  • Supports and ensures adherence to relevant legal and regulatory requirements and company policies as appropriate. 
  • Maintains comprehensive and accurate records of active leases, contracts, NDAs, and other documents, as necessary. 
  • Maintains, updates, and monitors the company's database of contracts with vendors, customers, and clinical partners and reports on contract metrics and deadlines for necessary updates, amendments, terminations, and renewals in response to business needs. 
  • Works cooperatively with legal counsel to develop contract templates and maintains a library of standard contract templates for use across the organization, including NDAs, sales agreements, vendor and consulting contracts, and clinical research and development agreements. 
  • Collaborates closely with internal departments, and outside legal counsel, in the evaluation, drafting, negotiating, and management of contracts including a variety of agreements such as service agreements, consulting agreements, confidentiality agreements, scopes of work, and support outside counsel in litigation and regulatory matters. 
  • Coordinates the initiation, negotiation, and execution of contracts.
  • Independently and efficiently prepares contracts for legal review.
  • Maintains up to date information concerning executed contracts in Salesforce and reports areas of operational concern.
  • Conducts diligence checks on all contractual third parties.
  • Acts as point of contact for non-disclosure agreement inbox and manages associated matter creation.  
  • Assists counsel in implementing company-wide legal practices and end-user training.
  • Performs other duties as assigned.

Knowledge and Skills
  • Ability to independently negotiate contract terms preferred.
  • Proficient in Microsoft Office Skills-Excel, Word, PowerPoint, Outlook preferred.
  • Excellent attention to detail and accuracy.

Experience and Qualifications
  • High school degree or equivalent required.
  • Bachelor’s or associate degree in general business, managed health care, legal or finance disciplines strongly preferred.
  • Juris Doctor and/or Master of Business Administration preferred.
  • Paralegal Certificate or Juris Doctor strongly preferred.
  • 5-7 years related work experience either in a law firm or in-house legal department required. 
  • Experience in managing contract life cycle and reviewing/proofing contracts; experience negotiating contracts preferred.
  • Experience using LawVu, Salesforce, and Adobe preferred.
  • Experience Conducting advanced internet searches, Adobe Acrobat, and comfortable working within a cloud-based technology environment preferred.
